Professional Web Design Services Agreement

This Agreement is entered into between Service Provider and Client as defined below.

Scope of Services

The Service Provider agrees to deliver professional web design and related services, which may include but are not limited to:

All work will be performed on an hourly basis unless otherwise agreed in writing.

Billing & Rates

The Client agrees to pay the Service Provider at a rate of $150 USD per hour for all services performed under this Agreement.

Time is tracked in increments of no less than 15 minutes and is billable for all work performed, including communication, revisions, and research.

Monthly Minimum Commitment

The Client agrees to a minimum monthly retainer of 2 hours per month of service time.

These hours:

Any work exceeding the included 2 hours will be billed at the standard hourly rate of $ per hour.

Invoicing & Payment Terms

Invoices will be issued on a monthly basis and are due within 7 calendar days of receipt unless otherwise stated.

Late payments may result in:

Out-of-Scope Work

Any work requested by the Client that falls outside the standard scope of services or requires significant additional time will be treated as out-of-scope and billed accordingly.

The Service Provider will make reasonable efforts to notify the Client before exceeding estimated time commitments.

Client Responsibilities

Delays caused by the Client do not reduce or pause billing obligations.

Intellectual Property

Upon full payment of all outstanding invoices, the Client shall own the final delivered work product.

The Service Provider retains the right to:

Any third-party assets (fonts, plugins, stock media) remain subject to their respective licenses.

Limitation of Liability

The Service Provider shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, data, or business opportunities.

Total liability under this Agreement shall not exceed the total amount paid by the Client in the preceding 3 months.

Termination

Either party may terminate this Agreement with written notice.

Upon termination:

Independent Contractor

The Service Provider operates as an independent contractor and is not an employee, partner, or agent of the Client.

Agreement Acceptance

By signing below, both parties acknowledge that they have read, understood, and agreed to the terms of this Agreement.
